Merchant Terms of Service — Mira Digital Stamp Card

These Merchant Terms of Service ("Terms") apply exclusively to businesses and individuals who register for a Mira merchant account. If you are an end user of a Mira stamp card, please refer to the separate End User Terms of Service.
1. Introduction and Acceptance
These Terms constitute a legally binding commercial agreement between VS Studios AB, a limited company incorporated under the laws of Sweden (org. no. 559540-3865), with its registered seat at Moa Martinson's Square 6, 112 15 Stockholm, Sweden ("VS Studios", "we", "us", or "our"), and you, the business or individual registering for a Mira merchant account ("Merchant", "you", or "your").
By registering for a Merchant account and/or using the Mira platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you are entering into these Terms on behalf of a business entity, you represent that you have the legal authority to bind that entity.
If you do not agree to these Terms, you must not register for or use a Merchant account.
2. Definitions
- "Mira" means the digital stamp card platform operated by VS Studios AB, accessible via the Mira web and mobile application and associated services.
- "Service" means the Mira platform and all associated features, tools, and infrastructure made available to Merchants.
- "Merchant" means any business or individual that registers for a Mira merchant account and uses the Service to create and distribute Stamp Cards.
- "Stamp Card" means a digital loyalty card created by a Merchant through the Mira platform, linked to a QR code, enabling End Users to collect Stamps.
- "Stamp" means a digital mark recorded on a Stamp Card upon the occurrence of a qualifying event as defined by the Merchant.
- "Reward" means a benefit, offer, or incentive offered by a Merchant to an End User upon completion of a Stamp Card.
- "End User" means any individual who scans a Merchant's QR code, interacts with a Stamp Card, or creates a Mira end user account.
- "Content" means any text, images, branding, descriptions, offers, or other material uploaded or submitted by a Merchant to the Service.
- "Paddle" means Paddle.com Market Ltd, acting as the merchant of record and payment processor for Merchant subscriptions.
- "Account" means the Merchant's registered account on the Mira platform.
3. Description of Service
Mira is a technology platform that enables Merchants to create and manage QR code-linked digital stamp card campaigns. End Users scan a Merchant's QR code to collect digital stamps and, upon completing a Stamp Card, redeem a Reward as defined by the Merchant.
VS Studios provides the Mira platform as a technology infrastructure service only. VS Studios is not a party to any transaction, arrangement, or offer between a Merchant and an End User. All Stamp Card terms, rewards, and offers are created and fulfilled solely by the Merchant. VS Studios makes no representations or guarantees regarding the effectiveness of any Merchant's stamp card campaign.
4. Merchant Account Registration
To access Merchant features of the Service, you must register for a Merchant account by providing:
- Business name;
- A valid business email address;
- VAT number (where applicable);
- Billing information, which is processed by Paddle.
You represent and warrant that:
(a) all information you provide is accurate, current, and complete; (b) you have full legal authority to enter into these Terms on behalf of your business or organization; (c) you will maintain and promptly update your account information to keep it accurate and current at all times.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You must notify VS Studios immediately at support@miraloyalty.com if you become aware of or suspect any unauthorized access to or use of your account.
5. Subscription and Payment
Access to Merchant features of the Service requires a paid subscription.
5.1 Paddle as Merchant of Record
All payment processing for Merchant subscriptions is handled exclusively by Paddle.com Market Ltd ("Paddle"), which acts as the merchant of record for all subscription transactions. When you purchase or renew a Mira subscription, your contractual and payment relationship for billing purposes is directly with Paddle, and Paddle's Terms of Use and Privacy Policy govern your payment transaction. VS Studios receives remittance from Paddle following deduction of applicable fees.
5.2 Recurring Billing
By subscribing, you authorize Paddle to charge your nominated payment method on a recurring basis at the then-current subscription rate for your selected billing cycle (monthly or annual, as applicable). Charges will continue automatically until you cancel your subscription in accordance with Section 5.6.
5.3 Refunds
We offer a 30-day money-back guarantee on subscription fees. If you are not satisfied with the Service, you may request a full refund of your most recent subscription payment within 30 days of the charge date.
Refunds are processed by our payment provider and merchant of record, Paddle.com Market Ltd. To request a refund, please visit https://paddle.net (you can look up your purchase using the email address you used at checkout), use the support link in your Paddle purchase receipt, or contact help.paddle.com. You may also contact us at support@miraloyalty.com and we will assist you with your request.
This refund right is in addition to any statutory rights you may have under applicable mandatory law, and does not affect Paddle's own buyer terms (https://www.paddle.com/legal/checkout-buyer-terms) or refund policy (https://www.paddle.com/legal/refund-policy).
5.4 Price Changes
VS Studios reserves the right to change subscription pricing at any time. We will provide at least 30 days' prior written notice of any price change by email to the address associated with your Merchant account. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing. If you do not accept the new pricing, you must cancel your subscription before the change takes effect.
5.5 Taxes and VAT
Subscription prices may be subject to applicable taxes, including value added tax (VAT), goods and services tax, or other similar indirect taxes. As merchant of record, Paddle is responsible for calculating, collecting, and remitting applicable taxes on subscription transactions. The amount shown at checkout will include any applicable taxes.
5.6 Cancellation
You may cancel your subscription at any time through your Merchant account settings or by contacting support@miraloyalty.com. Cancellation will take effect at the end of your current paid billing period. You will retain full access to Merchant features until that date. Cancellation does not relieve you of payment obligations for the current billing period.
5.7 Extra Usage Charges
Each subscription plan includes a fixed allocation of stamps per billing period ("Included Stamp Allocation"). If your stamp usage exceeds your Included Stamp Allocation during any billing period, the excess stamps will be charged at the then-current per-stamp overage rate ("Extra Usage Charges"), as published on the Mira pricing page at https://miraloyalty.com/#pricing.
The following conditions apply to Extra Usage Charges:
(a) Automatic charge: Extra Usage Charges are calculated automatically at the end of each monthly billing cycle and charged to the payment method on file with Paddle, regardless of whether you are on a monthly or annual subscription plan. Annual plan subscribers are therefore subject to monthly Extra Usage Charges in any month in which the Included Stamp Allocation is exceeded.
(b) Notification: VS Studios will notify you via in-app notification and by email when your stamp usage approaches or exceeds your Included Stamp Allocation. It is your responsibility to monitor your usage and ensure your payment method remains valid and able to accept additional charges.
(c) Refunds: Extra Usage Charges reflect actual platform usage. Refund requests for Extra Usage Charges may be submitted to Paddle (our merchant of record) via https://paddle.net or help.paddle.com, and will be handled in accordance with Paddle's refund policy and any rights you have under applicable mandatory law.
(d) Rate changes: VS Studios reserves the right to change the per-stamp overage rate at any time with at least 30 days' prior written notice by email. Continued use of the Service after the effective date of a rate change constitutes acceptance of the new rate.
(e) Dispute window: Any dispute regarding an Extra Usage Charge must be raised with VS Studios in writing at support@miraloyalty.com within 30 days of the charge date. Disputes raised after this period will not be considered.
By registering for a Merchant account and using the Service, you explicitly acknowledge and agree that Extra Usage Charges may be applied to your payment method automatically as described above.
6. Merchant Responsibilities and Conduct
6.1 Accuracy and Fulfillment of Offers
You are solely responsible for the accuracy, legality, and fulfillment of all Stamp Card campaigns, offers, and Rewards you create and publish through the Service. You must honor any Reward that an End User has legitimately earned in accordance with the terms of your Stamp Card. Failure to honor a validly earned Reward is a material breach of these Terms and may result in account suspension or termination.
6.2 Compliance with Applicable Law
You must ensure that your use of the Service and all Stamp Card campaigns comply with all applicable laws and regulations in every jurisdiction in which your Stamp Cards are distributed or redeemed, including but not limited to:
- Consumer protection and advertising laws;
- Data protection and privacy laws, including GDPR and national implementing legislation where applicable;
- Anti-spam and electronic communications laws;
- Laws governing promotional campaigns, prize competitions, and loyalty programs.
VS Studios accepts no liability for any Merchant's failure to comply with applicable law.
6.3 Prohibited Conduct
You must not use the Service:
(a) to create or distribute Stamp Cards for products, services, or activities that are unlawful in any applicable jurisdiction; (b) in any manner that could harm, harass, mislead, or deceive End Users; (c) to upload or distribute Content that infringes any third party's intellectual property rights, including copyright, trade mark, or database rights; (d) to distribute spam or unsolicited commercial communications to End Users outside the scope of opt-in consents obtained by VS Studios; (e) to reverse-engineer, decompile, disassemble, scrape, or otherwise attempt to derive the source code or underlying architecture of the Mira platform; (f) to circumvent, disable, or otherwise interfere with any security feature, access control, or technical protection measure of the Service; (g) to introduce any virus, worm, Trojan horse, ransomware, or other malicious or disruptive code into the Service or any system connected to it; (h) to use any automated tool (including bots, scrapers, or crawlers) to access or interact with the Service, except as expressly permitted by VS Studios in writing.
6.4 Merchant Content
You grant VS Studios a non-exclusive, royalty-free, worldwide, sub-licensable licence to host, store, display, transmit, and process your Content solely to the extent necessary to provide the Service and operate the Mira platform. You retain all ownership of and responsibility for your Content.
You represent and warrant that: (i) you own or have obtained all necessary rights, permissions, and licences to your Content; (ii) your Content does not violate any applicable law, regulation, court order, or third-party right; and (iii) your Content does not contain any defamatory, obscene, offensive, fraudulent, or otherwise unlawful material.
VS Studios reserves the right to remove any Content that, in its reasonable opinion, violates these Terms or applicable law, without prior notice.
7. Merchant Account Suspension and Termination
7.1 Termination by You
You may terminate your Merchant account at any time by cancelling your subscription and/or contacting support@miraloyalty.com. Account termination does not entitle you to a refund of any prepaid or current-period subscription fees.
7.2 Suspension or Termination by VS Studios
VS Studios reserves the right to suspend or permanently terminate your Merchant account and access to the Service, with or without prior notice, if:
(a) you breach any material provision of these Terms and, where the breach is capable of remedy, fail to remedy it within 7 days of receiving written notice from VS Studios; (b) we reasonably suspect fraudulent, abusive, or unlawful activity in connection with your account; (c) you fail to pay any subscription fee when due and such failure continues for more than 7 days after notice; (d) we are required to do so by applicable law, regulation, or order of a competent authority.
7.3 Effect of Termination
Upon termination of your Merchant account:
(a) your Stamp Cards will be deactivated and will no longer be accessible to End Users; (b) you will lose access to all Merchant features, account data, and any Content stored in the Service; (c) all accrued payment obligations and any provisions that by their nature should survive termination (including Sections 6.4, 10, 11, 12, and 13) will survive.
VS Studios is not liable for any loss of business, revenue, goodwill, or End User data resulting from a suspension or termination carried out in accordance with these Terms.
8. Intellectual Property
All rights, title, and interest in and to the Mira platform — including its software, algorithms, design, interface, trade marks, service marks, logos, and brand identity — are owned by or licensed to VS Studios AB. Nothing in these Terms grants you any ownership interest or licence in VS Studios's intellectual property beyond the limited, non-exclusive, non-transferable right to access and use the Service as expressly set out herein.
You must not copy, reproduce, distribute, modify, create derivative works of, reverse-engineer, or otherwise exploit any part of the Mira platform without prior written consent from VS Studios.
9. Availability of the Service
VS Studios will use commercially reasonable efforts to make the Service available but does not guarantee uninterrupted, error-free, or continuous availability. The Service may be temporarily unavailable due to scheduled or emergency maintenance, technical failures, or circumstances beyond VS Studios's reasonable control.
VS Studios reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice where practicable. VS Studios shall not be liable to you for any unavailability, modification, suspension, or discontinuation of the Service or any feature thereof.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VS STUDIOS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
VS STUDIOS DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INFORMATION OBTAINED THROUGH THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VS STUDIOS AB AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS; LOSS OF REVENUE; LOSS OF DATA; LOSS OF GOODWILL; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF VS STUDIOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
VS STUDIOS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL SUBSCRIPTION FEES PAID BY YOU TO VS STUDIOS IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED SWEDISH KRONOR (SEK 100).
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE EITHER PARTY'S LIABILITY FOR: (I) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (III) ANY OTHER LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
12. Indemnification
To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless VS Studios AB and its officers, directors, employees, agents, and licensors from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
(a) your use of or access to the Service; (b) your breach of any provision of these Terms; (c) any Content you submit to the Service; (d) your violation of any applicable law or regulation; or (e) any claim by an End User arising from your Stamp Card campaign, offers, or failure to honor a Reward.
13. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed without use of confidential information; or (d) must be disclosed by law or order of a competent authority.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
14.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or the Service, the parties shall first attempt to resolve the dispute through good-faith senior management negotiation. If the dispute is not resolved within 30 days of written notice from one party to the other, the dispute shall be submitted to the exclusive jurisdiction of the courts of Stockholm, Sweden.
15. Changes to These Terms
VS Studios reserves the right to modify these Terms at any time. We will provide notice of any material changes by email to the address associated with your Merchant account at least 30 days before the changes take effect.
Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the revised Terms take effect.
16. Force Majeure
VS Studios shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, fire, flood, pandemic, governmental action, internet or telecommunications failures, or third-party service provider outages.
17. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
18. Waiver
No failure or delay by VS Studios in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. No waiver shall be effective unless made in writing and signed by an authorized representative of VS Studios.
19. Entire Agreement
These Terms, together with the Mira Privacy Policy, constitute the entire agreement between you and VS Studios AB with respect to the Merchant's use of the Service, and supersede all prior and contemporaneous agreements, understandings, and communications relating to the subject matter hereof.
